Overview

In 1993, AMD and Fujitsu formed a 50-50 joint venture called FASL. In 2003, the long-term partnership merged into a new company called FASL LLC, globally branded as Spansion, AMD's Spansion stake increased to 60%, and Fujitsu retained the remaining 40%.


In December 2005, the joint venture went public, and Spansion now trades on NASDAQ under symbol SPSN. The IPO raised $529 million, with Spansion selling 47,264,000 Class A shares at $12 per share, including 5,064,000 over-allotment shares. As part of the carve-out, AMD's Spansion stake was reduced to 37%.


Products

The company sells flash memory products through AMD and Fujitsu and their respective sales forces. Notable product families include MirrorBit(r) flash, and floasting gate. In periods the flash business has been extremely profitable, exceeding the financial performance of the CPU division, although the industry is somewhat prone to boom-bust cycles. Spansion claim a number of important milestones in Flash development:

MirrorBit™

The MirrorBit technology implements a method to store two physically distinct bits on opposite sides of a memory cell. Each bit within a cell serves as a binary unit of data (e.g. either 1 or 0) that is mapped directly to the memory array, thus doubles the intrinsic density of a Flash memory array.


The MirrorBit product line of Spansion includes the following:

  • MirrorBit NOR, NOR flash;
  • MirrorBit ORNAND, Spansion's implementation of NAND flash memory;
  • MirrorBit HD-SIM, for SIM card used in mobile phones;
  • MirrorBit Quad, first 4-bit per cell memory module; and
  • MirrorBit Eclipse, the inclusion of NOR flash and NAND flash into a single die or package.

Production facilities

Spansion has manufacturing facilities in Aizu-Wakamatsu, Japan (JV3 and Sp1), and Austin, Texas (Fab 25), with Fujitsu fabrication plants (JV1 and JV2) and TSMC for additional fabrication of wafers.
